A Singapore woman is suing three Harris County men, alleging her stock purchase says was misrepresented by the defendants.
Jodie Kelly filed a lawsuit Sept. 4 in the Houston Division of the Southern District of Texas against Paul F. Rembach and Jason Moore, both of Cypress, and Seth A. Nichamoff, of Houston, alleging breach of contract.
According to the complaint, on May 19, the sale to Kelly of shares of Legacy Automation Power & Design Inc. (LAPD), a Harris County company, became final. However, the suit says, the defendants removed assets from the corporation and converted the status of the shares, thereby decreasing their value with the intent of defrauding the plaintiff.
The plaintiff alleges breach of contract, negligent misrepresentation, fraud, breach of fiduciary duty, conspiracy, and aiding and abetting.
Kelly seeks damages including the amount she overpaid for the LAPD stock, the value of the assets the defendants removed from LAPD and those she sustained from purchasing the stock instead of a productive investment. She also seeks punitive damages, a jury trial, attorney fees and court costs. She is represented by attorney John B. Hall of Locke Lord in Houston.
