Holland & Knight advised QuarterNorth Energy Inc. (QNE) in its $1.29 billion acquisition by Talos Energy Inc. (NYSE: TALO). Consideration for the transaction consists of $965 million in cash paid by Talos and 24.8 million shares of Talos common stock. Additionally, QNE stockholders will receive QNE’s net cash as of December 31, 2023.
The transaction, announced Jan. 15, is expected to close by the end of the first quarter of 2024, subject to certain customary closing conditions and regulatory approvals.
Houston-based QNE is a privately held offshore Gulf of Mexico exploration and production operator with working interests in several prolific deepwater U.S. Gulf of Mexico assets.
