A Jefferson County resident is suing, claiming the defendant breached an asset purchase agreement.
Shane T. Freeman filed a lawsuit in November in the District Court of Jefferson County against Memorial MRI & Diagnostics LLC, citing negligent misrepresentation, 402B misrepresentation, fraud, common law fraud and breach of contract.
Freeman states he contracted with the defendant to work as a marketer after an asset purchase agreement of an entity previously owned by Freeman. The defendant was required to make installment payments under the terms of the purchase agreement, but the defendant has failed to make installment payments and is in breach of the agreement, according to the complaint.
The plaintiff is seeking actual damages, exemplary damages, interest, costs and any other relief deemed just.

The case has been assigned to Judge Bob Wortham, 58th District Court.
