Texas City company faces breach of contract claim over stock sale

GALVESTON — A Texas City company is facing a breach of contract claim over the sale of its stock. 

Kai Seton Adkins filed a complaint Nov. 2 in Galveston County District Court against Jody Adkins and Vican Manufacturing Solutions LLC alleging breach of contract. 

According to the complaint, the plaintiff sold interest in Vican to Jody Adkins in 2018. The plaintiff claims the sale of stock agreement included Jody Adkins and Vican removing him from "all debt obligation" of Vican and that Jody Adkins and Vican agreed to indemnify him "for any liability arising out of such debts." 

The plaintiff alleges the defendants did not remove him from all the debt obligations and that Vican's loan with Allegiance Bank is $353.60 overdue with the bank and the Texas Workforce Commission is still holding him personally accountable for Vican's tax liability. The plaintiff also alleges the defendants have breached their obligations under the sale of stock agreement.   

The plaintiff seeks monetary relief of $250,000 or less, interest, trial by jury and all other just relief. He is represented by Attorney David Nachtigall in Houston.
