Talon Insurance Agency has filed suit against three other agencies, alleging they failed to close on a contract in which they were obligated to purchase certain assets from Talon.
Taon claims it entered into the contractual relationships with American Patriot Insurance Agency, American Patriot Insurance of Texas and Hendricks Holding Company, but they breached the contract when they failed to close as required under the terms of the agreement.
The three companies acted together in a conspiracy with other defendants, the suit filed Dec. 9 in Jefferson County District Court states.
"All Defendants were alter egos of each other and plaintiff seeks to set aside the corporate structure of these companies and to pierce the corporate veil to hold each defendant liable for the actions of the others," the suit states.
Talon is seeking actual damages, plus attorney's fees, prejudgment and post-judgment interest, costs and other relief the court deems just.
It is represented by M.C. Carrington, Ernest W. Boyd, Corey J. Seel and James R. Meadows of Mehaffy Weber in Houston.
The case has been assigned to Judge Gary Sanderson of the 60th District Court.
